Regarding Nippon Steels planned acquisition of US Steel, on the 13th, President Trump issued an executive order amending the previous executive order issued by the Biden administration that banned the acquisition.

Also, Nippon Steel and US Steel announced that they have entered into a national security agreement with the US government, and that President Trump has approved the partnership between the two companies.

Regarding Nippon Steels plan to acquire US Steel, former President Biden issued a ban in January this year, citing national security concerns.

However, President Trump instructed the government’s CFIUS, the Committee on Foreign Investment in the United States, to review the matter again this April.

President Trump issued an executive order on the 13th, based on the results of the CFIUS review.

The executive order states that national security threats can be sufficiently mitigated if certain conditions are met, and that it will revise the previous Biden administrations executive order that banned Nippon Steels acquisition of US Steel.

On top of that, it indicated that acquisition plans are prohibited unless a national security agreement is concluded with the U.S. Department of the Treasury and others, and the agreement continues to be observed after its conclusion, showing that acquisition plans will be approved if a national security agreement is concluded.

Also, Nippon Steel and US Steel announced that they have entered into a national security agreement with the US government, and that President Trump has approved the partnership between the two companies.

On the other hand, the executive order states that the President has the authority to issue further orders to both companies if necessary for national security.

On the 12th, President Trump indicated that the U.S. government would acquire a special type of stock known as a golden share, which allows the holder to exercise veto power over important management decisions such as the appointment or dismissal of directors at U.S. Steel.

US Steel: We appreciate the strong support. On the 13th, US Steel issued a joint statement with Nippon Steel, stating that President Trump has approved the partnership between the two companies. They also revealed that they have concluded a national security agreement with the US government.

This agreement stipulates that Nippon Steel will invest approximately $11 billion, or 1.6 trillion yen, by 2028.
